On the morning of December 6, 2025, a lecture on "Hot and Difficult Issues in the Implementation of the New Company Law - Comparison with Relevant Provisions of Overseas Company Law" was successfully held in Xiamen. The event was hosted by the Fujian Branch of the China International Economic and Trade Arbitration Commission (CIETAC), the Cross-Strait Arbitration Center (hereinafter referred to as the "Strait Center"), and the Fujian Lawyers Association, and co-organized by the Civil and Commercial Law Professional Committee of the Fujian Lawyers Association and the Foreign-related Legal Professional Committee of the Xiamen Lawyers Association. Nearly 300 people from the business and legal professions participated in the event.

Yu Yubin, deputy director of the Civil and Commercial Legal Service Professional Committee of the Fujian Lawyers Association and deputy director of the Foreign-related Legal Professional Committee of the Xiamen Lawyers Association, said that the new Company Law has been systematically revised on key issues such as equity transfer, corporate capital and corporate governance, which fully reflects the flexible combination of China's national conditions and the legislative experience of various countries.

In the opening speech, Chen Zhaohui, Secretary-General of CIETAC Fujian Branch (Maritime Silk Road Arbitration Center) and Deputy Secretary-General of the Straits Center, introduced the unique advantages and latest work of CIETAC and the Straits Center in the field of corporate disputes and foreign-related arbitration, and said that CIETAC and the Straits Center will work hand in hand with the industry to help enterprises achieve high-quality development with the support of world-class dispute resolution services, and contribute to the creation of a market-oriented, law-based and international first-class business environment.

In the speech session, Mr. Ye Lin, arbitrator of CIETAC and Straits Center, professor and doctoral supervisor of the School of Law of Chinese Minmin University, and vice president of the Commercial Law Research Association of the China Law Society, delivered a speech on the topic of "Hot and Difficult Issues in the Implementation of the New Company Law - Comparison with Relevant Provisions of Overseas Company Law". From the perspective of the background of the amendment and the core changes of the new law, he took wholly state-owned companies and offshore companies as examples to deeply analyze the substantive impact of the choice of different types of corporate structures on corporate governance. He also explained key issues in the field of company law, such as the legal risks of shareholders' contributions to non-monetary property and the rules for dealing with unpaid capital contributions, the determination of the legal nature of equity holdings and the difficulties of judicial adjudication through rich and vivid cases.

In the interactive session, Mr. Ye Lin and the participants had a heated exchange and discussion on topics such as the tax issues of offshore companies, the identification of the nature of equity holding, and the gambling between investors and companies. The lecture was informative, closely integrated with theory and practice, providing participants with cutting-edge academic perspectives and practical guidance.
